Introducing Lift Right!Early Access offer through December 31, 2026.See Early Access

Terms of Service

These terms are the agreement between Lift Right LLC, a Colorado limited liability company, and the organization that subscribes to Lift Right. In these terms, “Lift Right” means the company, “you” means the subscribing organization, and “the service” means the Lift Right application at app.getliftright.com.

Lift Right is case management and grant reporting software for human services organizations. You use it to record the people you serve, the services you deliver, and the outcomes you report to funders.

1. How the agreement is formed

For plans available without a salesperson, completing checkout forms the agreement. The plan and the price shown at checkout are its commercial terms. There is no separate order document.

For the Enterprise plan, the agreement is formed by a written order form signed by both of us.

The person who accepts these terms represents that they can bind your organization.

2. Who is bound

These terms bind your organization and everyone you give access to. You are responsible for what your users do here. If one of them does something that would breach this agreement, that is your breach.

A separate legal entity, including an affiliate or a chapter, needs its own organization and its own subscription. Two organizations sharing one account would put two entities’ participants inside one access boundary, which is not something the service will do. If you give an affiliate access to your account, you remain responsible for them.

3. Accounts and users

There are two kinds of access, and only one of them is counted.

Staff users are your employees, contractors, and volunteers, each with a named account. Accounts are personal and must not be shared.

Participant access is a scoped link given to a participant, or to a parent or guardian acting for one, so they can complete or view their own intake. The link is tied to your organization and you can revoke it.

Participant access is not charged and is not counted toward your plan. Charging a nonprofit for each person it serves would penalise it for serving more people, which is the opposite of what this product is for.

Your plan covers a range of active staff accounts, meaning accounts you have not deactivated. Going over the range moves you to the next plan immediately, and the difference is prorated. Coming under it takes effect at your next billing period, with no refund or credit for the period you are in.

4. What you get, and what you do not

Your subscription includes the software, support by email and inside the application, the help content, and the in-application assistant.

It does not include us entering your data, cleaning up your records, or writing your reports for you. It does not include migration beyond the importer in the product, custom development, custom fields, bespoke reports, or on-site training.

Anything in that second list needs a separate written statement of work agreed in advance, with its own price and scope.

You agree not to require Lift Right staff to enter, change, or send data on your behalf without a written agreement to do so. This runs both ways. It keeps us out of your records, and it keeps a small company from becoming your unpaid data entry department.

Support is unlimited in the ordinary sense. If your use is far outside normal, we may propose paid training instead, and we will say so before we limit anything.

5. Fees and payment

Fees are charged to the card on file at the start of each period. Billing is monthly, in advance.

Fees exclude sales, use, and similar taxes, which you pay where they apply. Software as a service is taxable in a number of states.

There are no refunds for partial periods. Cancellation takes effect at the end of the period you have paid for.

If you think a charge is wrong, tell us before the next period rather than reversing it with your bank. The part you do not dispute stays payable while we look at the rest.

If payment fails, we will tell you in writing and give you a reasonable chance to fix it before suspending the account. We do not charge interest on late payment and we do not pass on the cost of collection. Suspension does not delete your data, and if the account then ends, the export window in section 10 still applies.

6. Term, renewal, and cancellation

The initial term is one month, beginning at checkout. It renews automatically, monthly, until you cancel.

You may cancel at any time, and you keep access to the end of the period you have paid for. You do not need our consent and you do not need to give notice months in advance. A nonprofit whose grant cycle changes should be able to leave.

Either of us may end this agreement if the other materially breaches it and does not fix it within 30 days of written notice. The same 30 days applies to both of us.

Either of us may end it immediately if the other stops doing business, or enters bankruptcy or receivership that is not discharged within 30 days.

7. Trial

Any trial is provided as is. There is no warranty, no availability commitment, and no obligation to keep your data after the trial ends unless you convert to a paid plan. Your data is exportable during the trial and for 60 days after it ends, and is then deleted.

8. Your data

You own everything you and your participants put into Lift Right, including every participant record. We claim no ownership of it.

We do not sell customer data or participant data. Ever.

We compute figures from your data, such as averages across your own participants and comparisons against aggregates. Those are produced inside your account and belong to you.

We may use de-identified and aggregated data derived from customer data to operate, secure, and improve the service, and to produce comparative benchmarks that tell a small organization how its outcomes sit against similar organizations. Within that:

  • it never identifies you, a participant, or any individual
  • organization-level figures are never disclosed to a third party
  • aggregates are never sold
  • we do not reverse de-identification or attempt re-identification

How we handle personal information is described in the Privacy Policy, and the Data Processing Addendum sets out our obligations as a processor of the participant records you hold. Both form part of this agreement.

9. Acceptable use

This section applies to the customer organization and to everyone the customer gives access to.

What the customer does

  • Makes sure its own use, and its users’ use, is lawful.
  • Obtains any consent its participants, its funders, or its state law require.
  • Assigns roles, and removes access when someone leaves.
  • Keeps credentials confidential and reports any suspected compromise.
  • Does not enter data it has no right to enter.
  • Decides what is appropriate to record about a participant. Lift Right provides fields. It does not decide what belongs in them.

What the customer does not do

  • Resell, sublicense, or provide the service to a third party.
  • Copy, modify, or create derivative works of the service.
  • Reverse engineer the service, except where law permits it.
  • Enter code into form fields, or attempt to reach data or systems not intentionally made available.
  • Use the service to store or transmit malicious code.
  • Use the service to harass, defame, or violate anyone’s rights.
  • Use data mining, scraping, or automated extraction against the service.
  • Share a named account between people. Accounts are personal.

Two things this policy deliberately does not say

There is no restriction on discussing the product. Customers may publish what Lift Right costs them in staff time, how it performs, and what it is like to use. A competitor agreement reviewed during drafting forbids exactly that. Telling a nonprofit it may not say what a tool costs it is not a term this product will carry.

There is no restriction on leaving. Export is available at any time and cancellation takes effect at the end of the paid period.

Participants

Participant access is a scoped link to complete or view one’s own intake. It is tied to the issuing organization and can be revoked by it. A participant is not a party to the Terms of Service and is not counted or charged.

The organization that issues a link is responsible for who receives it, including whether a minor may complete an intake unaccompanied under the law of its state.

Referrals to other organizations

An organization referring a participant to an outside provider is responsible for deciding to refer, for holding the consent, and for whether the disclosure is lawful. Lift Right keeps what is sent to a minimum and records what was sent and when it was opened.

An organization receiving a referral is asked to use it only to respond and to serve the person named, not for marketing, fundraising, or any other purpose, and not to pass it on without involving the referring organization.

Enforcement

Where use presents a credible risk of harm to another customer, to a participant, or to the service, Lift Right may suspend access, and will say why.

Serious or repeated breach is grounds for termination under the Terms of Service, with the same 30-day cure period that applies to both parties.

10. Getting your data out, and deletion

You can export your data at any time, in a machine-readable format.

On termination, your access ends immediately, and you have 30 days to export everything. After that we delete it, except where your own funder or a legal obligation requires a longer retention period, in which case we keep it for that period and then delete it. Backups expire on their own schedule rather than being edited.

On written request we will confirm deletion in writing, signed, stating what was deleted and when. Funder monitors ask for this.

11. Suspension

We may suspend access:

  • for planned maintenance, with notice where the work can be planned
  • during an event outside our reasonable control
  • if we suspect malicious software or a compromise of your account
  • where use presents a credible risk of harm to another customer, to a participant, or to the service
  • for non-payment, after written notice

We will tell you why.

12. Changes to the service and to these terms

We will give you at least 15 days notice of a material change to the service. We may change it immediately for legal, security, or abuse-prevention reasons. If a change materially harms your use, you may end this agreement and we will refund the unused part of the current period.

Material changes to these terms take effect 30 days after we tell you. If you object, you may terminate before they take effect.

13. Representations

Each of us represents that it is validly formed, that the person accepting can bind it, that it will comply with the law that applies to it, and that the information it gives the other is accurate.

Lift Right represents that it is not suspended, debarred, or excluded from federal programs, is not listed on the System for Award Management exclusions list, and is not on any government sanctions or restricted-party list. If you spend federal grant money, 2 CFR 180 requires you to verify this about your vendors. Stating it here answers your auditor in advance.

You represent that you have the right to put into Lift Right what you put in, that you hold the consents your participants, your funders, and your state law require, and that you will not use the service in a way that breaks the law.

14. Warranty

The service will perform materially as described in the documentation. That is the only warranty given.

We target high availability. We do not currently offer a contractual uptime guarantee, and we will not imply one. Enterprise customers may negotiate one.

Support is by email and inside the application, and we aim to respond within one business day. That is a target, not a commitment.

15. Liability

Neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

Our total liability for all claims arising from this agreement is capped at the fees you paid in the twelve months before the claim. For claims arising from the privacy or security of participant data, that cap is twice the fees paid in the same period.

The cap does not apply to breach of confidentiality obligations, to indemnification obligations, or to gross negligence or willful misconduct.

16. Indemnity

We will defend you against a third-party claim that the service infringes a United States patent, copyright, trademark, or trade secret. If that happens, we may obtain the right for you to keep using it, change it so it no longer infringes, or end this agreement and refund the unused part of the current period. This does not cover use of the service outside this agreement, combination with something we did not supply where the claim would not otherwise have arisen, or your own data.

You will defend us against a third-party claim arising from your data, your use of the service outside this agreement, or your own breach of the law.

Either way: prompt written notice of the claim, the indemnifying party controls the defence and any settlement, no settlement admitting the other’s fault without its consent, and reasonable cooperation at the indemnifying party’s expense.

17. Confidentiality

Your data, including every participant record, is your confidential information. The service itself and anything we mark confidential is ours.

Neither of us uses the other’s confidential information for anything outside this agreement, reproduces it, creates derivative works from it, or gives it to anyone without a need to know who has not agreed to protect it.

None of that applies to information that is public through no breach, was already known without obligation, was independently developed, or was rightfully received from a third party.

If a court or agency compels disclosure, we will give you notice where the law allows it, disclose only what is required, and ask for confidential treatment. These obligations survive the end of this agreement.

18. Feedback and publicity

Suggestions you offer about the product may be used freely and without obligation, and are not your confidential information.

We may use your name and logo to identify you as a customer. You may decline in writing, and that takes effect going forward.

19. Where the service may be used

The service is offered for use in the United States. All storage is in the United States. AI processing by Anthropic may run in another country. If you give access to staff working outside the United States, you are responsible for the law that applies to them.

20. Notices

Notices are in writing, by email, to the addresses on file. An email counts as a signed writing.

You name an email address for legal and account notices and keep it monitored and current. Notice sent there counts as given. Tell us when it changes.

You agree to receive notices, agreements, and disclosures electronically, and they satisfy any requirement that they be in writing.

21. Uploaded content

Files you upload to Lift Right are your private case documentation. We do not publish them.

If someone credibly reports that content you uploaded infringes their rights, we will act on it, and we may end the account of a customer who does it repeatedly. Reports go to legal@getliftright.com.

22. Disagreements

If we disagree, each of us names someone to talk to the other, and we try in good faith to resolve it before anything is filed. If that fails, we will use non-binding mediation before starting proceedings, unless immediate relief is needed to protect data or intellectual property.

This agreement is governed by the law of Colorado, without regard to conflict of laws rules. Proceedings take place in the state and federal courts located in Colorado. Each of us pays its own legal costs. We will use remote participation wherever the forum allows it, so that a disagreement does not cost a nonprofit an aeroplane ticket.

There is no mandatory arbitration and no class action waiver in this agreement. That is a deliberate choice.

A public-sector buyer cannot accept this section. Public-sector agreements use a separate rider that replaces governing law, venue, and dispute resolution.

23. General

Neither of us may assign this agreement without the other’s consent, except in a merger or a sale of substantially all of the business. If Lift Right is acquired, customer data transfers with the business and stays subject to these commitments, and we will tell you.

Neither of us is responsible for a failure caused by something outside its reasonable control, other than paying money.

We are independent contractors. Nobody else gets rights under this agreement.

We may monitor use of the service to keep it secure, to investigate a threat to the service or to customer data, to help you resolve a problem you have reported, and to meet a legal obligation. We do not alter or remove your data except as you ask or the law requires.

If any part of this agreement is unenforceable, the rest stands. This agreement, together with the Privacy Policy and the Data Processing Addendum, is the entire agreement between us about the service.
